CENTRAL EUROPE Immofinanz ups S Immo bid

Immofinanz has raised its offer price to EUR 22.25 per share in its takeover bid for rival Austrian real estate investor S Immo.

On March 14th, Immofinanz launched its voluntary public takeover offer at EUR 18.04 per share. The increased offer price of EUR 22.25 represents a premium of 23.3 pct on this and 40.3 pct on S Immo’s six-month VWAP (volume weighted average share price over the last six months) of EUR 15.86 prior to the original announcement of the offer. One condition of the increased offer price is that S Immo removes its maximum voting right cap.

The offer price is cum-dividend, which means that it will be reduced by the amount of any dividend per share S Immo declares between the latest offer and its settlement of an offer, if the settlement of an offer takes place after the relevant dividend record date.

The publication of the offer after clearance by the Austrian Takeover Commission is expected on or around April 15th 2021.
